These terms set out the basis on which Ferromir provides its services and the responsibilities of both parties. Please read them before engaging our services. By using our website or requesting a service, you agree to these terms.
1. Definitions
Throughout these terms, the following words carry these meanings:
- "Ferromir", "we", "us", "our" — Ferromir, a retail pricing analysis firm registered in Malaysia, operating from Level 14, Menara Prestige, No. 1 Jalan Pinang, 50450 Kuala Lumpur.
- "Client", "you", "your" — any individual or business that contacts, engages, or purchases services from Ferromir.
- "Services" — pricing analysis, dashboard setup, insight reviews, and related deliverables as described on our website or in a service agreement.
- "Deliverable" — any written summary, dashboard output, guide, or report produced by Ferromir as part of a service.
- "Agreement" — these terms, together with any written service engagement between Ferromir and the Client.
2. Acceptance of Terms
By using this website, submitting an enquiry, or engaging our services, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into an agreement.
- If you are acting on behalf of a business, you have authority to bind that business to these terms.
- You have read and understood these terms and accept them in full.
3. Service Description
Ferromir provides retail pricing analysis services to businesses. Our current offerings are:
Pricing Insight Review — RM 530
A review of a sample of your pricing and sales records, with a written summary and a walkthrough session. Delivery within 5–7 business days.
Pricing Dashboard Setup — RM 1,740
Setup of a pricing visibility dashboard drawing on your own data, with a reading guide and a training session. Delivery within 2–3 weeks.
Pricing Insight Programme — RM 2,960 per cycle
An ongoing engagement covering multiple product lines and review cycles, with internal ownership maintained by your team. Includes multi-line setup, review cycle, and maintenance guide.
Services are available to businesses in Malaysia. We may agree to assist businesses in other locations on a case-by-case basis.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information in all communications with us.
- Supply any data or documents requested in a timely manner to allow us to carry out the service.
- Use our deliverables for lawful internal business purposes only.
- Not reproduce, share, or resell our deliverables without written agreement.
- Not use our website or services in a way that infringes the rights of others or violates applicable law.
5. Intellectual Property
All content on our website — including text, structure, and visual design — remains the property of Ferromir or its licensors. You may not copy, adapt, or distribute this content without our written consent.
Deliverables produced under a paid service engagement are licensed to you for internal business use. This licence is non-exclusive and non-transferable. We retain the underlying methods and frameworks used to produce them.
Data that you share with us for the purpose of a service remains yours. We will not use it for any purpose other than delivering the agreed service.
6. Payment Terms
All prices are listed in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated. Payment terms will be confirmed at the time of engagement. Generally:
- One-time services (Pricing Insight Review, Pricing Dashboard Setup) are invoiced in full or with an agreed deposit prior to commencement.
- Programme engagements (Pricing Insight Programme) are invoiced per cycle at the start of each cycle.
- Payment is due within 14 days of invoice unless otherwise agreed in writing.
We do not offer refunds once work on a service has commenced, except where Ferromir is unable to deliver the agreed scope. Any such situations will be handled on a case-by-case basis and discussed directly with you.
7. Service Delivery
Timelines for each service are stated in the service description. These timelines assume timely receipt of all required input from you. Delays caused by late provision of data or other client-side factors may extend delivery timescales accordingly.
Changes to the scope of an agreed service must be discussed and agreed in writing before work on the additional scope commences. Additional charges may apply.
We aim to keep you informed throughout the delivery process and will flag any issues as they arise.
8. Disclaimers
Our services involve reviewing and presenting your own data in a more structured way. We do not make financial, legal, or regulatory recommendations. Our deliverables are informational and intended to support your team's own decision-making.
We do not warrant that our analysis will produce any particular commercial outcome. The insights we provide are based on the data and context available at the time of the review.
Our website is provided on an "as available" basis. We do not warrant that it will be uninterrupted or error-free.
9. Limitation of Liability
To the extent permitted by Malaysian law, Ferromir's total liability to you in connection with any service shall not exceed the amount paid by you for that service.
We are not liable for indirect, consequential, or incidental losses, including loss of profit, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such losses.
Nothing in these terms excludes or limits liability for fraud, personal injury, or any other matter that cannot lawfully be excluded.
10. Termination
Either party may end a service engagement by giving written notice if the other party materially breaches these terms and fails to remedy that breach within 14 days of written notice.
For programme engagements, either party may choose not to renew at the end of a cycle by giving reasonable notice before the cycle is due to begin. Fees for work already carried out within a cycle are payable in full on termination.
11. Dispute Resolution
These terms are governed by the laws of Malaysia. Any dispute arising from them will be subject to the jurisdiction of the courts of Malaysia.
Before commencing any formal proceedings, both parties agree to attempt to resolve the matter informally. Please contact us at [email protected] to raise a concern and we will aim to respond within 10 business days.
12. General Provisions
- Entire agreement: These terms, together with any written service agreement, represent the full agreement between you and Ferromir for the relevant service.
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by either party to enforce a term does not amount to a waiver of that term.
- Assignment: You may not assign your rights or obligations under these terms without our written consent. We may assign ours in connection with a business transfer.
- Notices: Formal notices under these terms should be sent by email to [email protected].
13. Changes to These Terms
We may update these terms from time to time. When we do, we will revise the "Last updated" date at the top of the page and, where changes are significant, make this clear on the page.
Continued use of our website or services after an update indicates acceptance of the revised terms. If you do not accept a change, please stop using our services and contact us to discuss any ongoing engagement.
